Terms & Conditions

These Terms and Conditions (“Terms”) govern the provision of Local SEO services by Caleb Johnstone (“I”, “me”, “my”) to you (“Client”, “you”, “your”). By engaging my services, you agree to be bound by these Terms.

1. Services

1.1 Local SEO Services

I provide Local SEO services including but not limited to:

Google Business Profile optimisation
Keyword research and strategy
On-page SEO optimisation
Local citations and directory listings
Link building and outreach
Technical SEO audits and fixes
Monthly reporting and performance tracking

1.2 Service Delivery

Services will be delivered according to the agreed scope of work outlined in your proposal or service agreement. I reserve the right to use my professional judgement in determining the best approach to achieve your SEO objectives.

2. Client Responsibilities

2.1 Access and Information

You must provide:

Timely access to your website, hosting, and relevant accounts
Accurate business information and materials
Feedback and approvals within reasonable timeframes
Any necessary login credentials or permissions

2.2 Content and Materials

You're responsible for providing accurate information about your business, services, and any content you want included in SEO efforts. You warrant that all information provided is truthful and that you have the right to use any materials provided.

3. Payment Terms

3.1 Fees and Payment

All fees are quoted in Australian dollars (AUD)
Payment is due within 7 days of invoice date unless otherwise agreed
Late payments may incur additional charges
All prices are inclusive of GST where applicable

3.2 Ongoing Services

For monthly retainer services:

Payment is due in advance on the same date each month
Services may be suspended for non-payment after 7 days notice
Price changes require 30 days written notice

4. Timelines and Performance

4.1 SEO Timeline

SEO results take time. While I work to improve your rankings as quickly as possible:

Initial improvements may be seen within 4-12 weeks
Significant results typically occur within 3-6 months
Rankings can fluctuate due to algorithm changes and competitor activity

4.2 No Guarantee of Results

While I use proven SEO strategies, I cannot guarantee:

Specific ranking positions
Particular increases in traffic or conversions
Protection against algorithm changes or penalties

5. Intellectual Property

5.1 Work Product

SEO strategies, reports, and recommendations remain my intellectual property
You receive a license to use deliverables for your business purposes
Custom content created for your site becomes your property upon payment

5.2 Tools and Methods

My proprietary methods, tools, and processes remain confidential and are my intellectual property.

6. Confidentiality

I will keep your business information confidential and will not disclose details about your SEO strategy to competitors. You agree I may use general, non-confidential information about our work together for case studies or marketing purposes.

7. Limitation of Liability

7.1 Liability Cap

My total liability for any claim related to these services is limited to the total amount paid by you in the 12 months preceding the claim.

7.2 Excluded Damages

I'm not liable for indirect, consequential, or special damages including lost profits or business interruption.

7.3 Third Party Actions

I'm not responsible for:

Google algorithm changes or policy updates
Actions by competitors or third parties
Technical issues with your website or hosting
Search engine penalties not caused by my work

8. Termination

8.1 Termination by Either Party

Either party may terminate services with 30 days written notice. You remain responsible for payment of services performed up to the termination date.

8.1 Immediate Termination

I may terminate immediately if you:

Breach these Terms
Fail to pay invoices after written notice
Request unethical or black-hat SEO practices
Become abusive or unreasonably demanding

9. General Terms

9.1 Governing Law

These Terms shall be governed exclusively by the laws of Queensland, and the parties hereby submit to the exclusive jurisdiction of the courts of that state.

9.2 Changes to Terms

I may update these Terms with reasonable notice. Continued use of services constitutes acceptance of updated Terms.

9.3 Severability

If any part of these Terms is deemed unenforceable, the remainder continues in full effect.

9.4 Entire Agreement

These Terms, along with any signed proposals or agreements, constitute the complete agreement between us.
